  11.   1.  LICENSE AGREEMENT - LT HelpDesk PRODUCT

  13.   NOTICE: Please read the terms and conditions of the license set forth below
  14.   prior to your use of this software. This software has been made available
  15.   to you subject to your agreement to the following license.  Use of this
  16.   software constitutes acceptance of each of the terms and conditions of such
  17.   license.

  19.   BLUE LANCE, INC. grants to you a personal, non-exclusive license to use LT
  20.   HelpDesk (the "software").  You are authorized to use the software for your
  21.   own benefit.  You may not, however, use the software in the operation of a
  22.   business whereby you charge third parties for the use of the software.
  23.   
  24.   You may make copies of the software and provide the copies to third
  25.   parties; provided, however, you must copy all files which are part of the
  26.   program and you must provide the copies to third parties; provided,

  29.   costs which you incur in copying and distribution.

  31.   You may not modify, reverse assemble, reverse compile, translate, or

  34.   source code from BLUE LANCE, INC. Acquisition of the source code will be on
  35.   such terms and conditions as may be set by BLUE LANCE, INC. from time to
  36.   time and will be subject to a separate license which will prevent the use
  37.   of the source code modification of the software for resale or inclusion
  38.   with any other product.

  40.   By use of this software, you assume full  responsibility for its selection
  41.   to achieve your intended results, and for the installation, use, and
  42.   results obtained therefrom. THE SOFTWARE IS PROVIDED TO YOU "AS IS" WITHOUT
  43.   WARRANTY OF ANY KIND WHATSOEVER AND BLUE LANCE,INC HEREBY EXPRESSLY
  44.   DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, SPECIFICALLY
  45.   INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY AND
  46.   FITNESS FOR A PARTICULAR PURPOSE.  The entire risk as to the quality and
  47.   performance of the software is with you. Should the software prove
  48.   defective, you must assume the entire cost of all necessary servicing,
  49.   repair, and/or correction. In no event will BLUE LANCE, INC. be liable to
  50.   you for any damages, including any lost profits, lost savings, or other
  51.   incidental, consequential, or special damages, arising out of or related to
  52.   the use or inability to use the software.

  65.   of the software.

  67.   All  rights  not   specifically   and   expressly   granted  in  this
  68.   license  are reserved by BLUE LANCE, INC.

  70.   If any one or more covenants, agreements, or provisions herein shall be
  71.   held for any reason whatsoever invalid or unenforceable, then such
  72.   covenants, agreements, or provisions shall be null and void and shall be
  73.   deemed severable from the remainder of this license and in no way affect
  74.   the validity of any such remainder.

  76.   This license (including the limitations of warranty and remedies set forth
  77.   herein) shall be construed, interpreted, and governed by the laws of the
  78.   state of Texas and any action hereunder shall be brought exclusively in
  79.   Harris County, Texas.

  82.   2.  LICENSE AGREEMENT - LT HelpDesk SOURCE CODE

  84.   BLUE LANCE, INC. grants to you a personal, non-exclusive license to use the
  85.   LT HelpDesk source code (the "source code").  You are authorized to use the
  86.   source code solely for your own benefit.

  88.   You may use the source code to modify LT HelpDesk (the "software") for your
  89.   own use only.  You may not use the source code in order to modify the
  90.   software for resale, inclusion with any other product, or any other
  91.   commercial purpose.

  93.   You may not permit any third party to use the source code and you may not
  94.   provide the source code or any part thereof to any third party.  You may
  95.   not make any copies of the source code except for such copies as are
  96.   reasonably required for your own use.
